La decisione di IBM di vendere parte del business hardware più “commodotizzato” non è nuova. Il Comitato Aziendale Europeo ritiene che il piano messo in atto da IBM, di cedere la propria attività relative ai server x86 a Lenovo, sia una conseguenza logica della strategia globale di IBM. Entrambe le società hanno espresso il desiderio di estendere a lungo termine la loro alleanza strategica.

Il CAE vede un futuro sostenibile per il business dei server x86 e riconosce che IBM e Lenovo sono profondamente impegnati a fare di questo trasferimento un successo. Lenovo ha conseguito ecellenti risultati dopo l'integrazione della divisione Personal Computing di IBM nel 2005. Il sentimento iniziale tra i dipendenti della divisione xSeries in tutta Europa è quindi positivo, con l'aspettativa che in Lenovo saranno parte del core business della società e che saranno riconosciuti e premiati per le loro profonde conoscenze e competenze al fine di sviluppare e far crescere la piattaforma x86 nel mercato. Il CAE raccomanda al CAE Lenovo di accogliere i loro nuovi colleghi x86 anche negli organi di rappresentanza dei lavoratori.

Acquisendo il business xSeries di IBM al prezzo comunicato di $ 2,3 miliardi, il CAE ritiene che Lenovo abbia fatto una acquisizione di classe mondiale. In Europa Lenovo acquisisce un business redditizio a un prezzo estremamente interessante, che corrisponde solo al 50 % dei ricavi 2013 a livello mondiale (di 4,6 miliardi di $) della gestione dei server x86.

Gli investimenti in corso nel settore x86 rimarranno necessari in un contesto di mercato in rapida evoluzione. Il CAE si aspetta che Lenovo si assumerà la responsabilità di continuare tali investimenti e che l'iniziativa di IBM di investire 1 miliardo di dollari, come annunciato dal Sig. Adalio Sanchez, General System Manager x, il 9 novembre 2013 verrà regolato.

Il CAE accoglie con favore la procedura e l'approccio meticoloso di IBM al fine di garantire il trasferimento “orizzontale” dei dipendenti x86 coinvolti e per compensare eventuali differenze. Per proteggere gli interessi di sia di IBM in Europa che dei lavoratori europei colpiti da questo trasferimento, il comitato aziendale europeo chiede l'impegno del management IBM a:

• salvaguardare i diritti dei lavoratori x86 nel campo di applicazione del trasferimento secondo la Direttiva UE 2001/23/CE
• assicurare che a tutti i dipendenti europei coinvolti nel trasferimento di Lenovo venga offerta una garanzia di occupazione per tutta la durata della alleanza strategica, vale a dire 5 anni
• assicurarsi che il beneficio finanziario di questa vendita sia investito in modo misurabile nel riconoscimento e nello sviluppo dei lavoratori europei di IBM
• Allineare vendite e programmi di incentivazione di entrambe le società per garantire un avvio rapido e il rafforzamento delle attività
• fornire al CAE il calendario completo e dettagliato del trasferimento, in quanto la transazione dovrebbe chiudersi entro la fine dell'anno
• facilitare l'accesso al Q&A per quanto riguarda i termini e le condizioni di tale trasferimento, renderlo disponibile su IBM Connections, a tutti i dipendenti x86 in ambito europeo.

Il coinvolgimento CAE in termini di informazione e di consultazione deve continuare fino a quando il trasferimento sarà completamente concluso.

Opinion – IBM xSeries to Lenovo

IBM’s decision to divest the more commoditized parts of its hardware related business is not new. The European Works Council regards IBM’s actual plan to divest its x86 server business to Lenovo, as a logical step in the context of IBM’s global strategy. Both companies expressed their wish to extend their current long term strategic alliance and partnership.

The EWC sees a sustainable future for the x86 server business and recognizes that IBM and Lenovo are deeply committed to make this transfer into a success. Lenovo has an excellent track record after the integration of IBM’s Personal Computing Division in 2005. The initial sentiment amongst the xSeries employees around Europe is therefore positive, with the expectation that at Lenovo they will be part of the company’s core business and that they will be recognized and rewarded for their deep knowledge and expertise to develop and grow the x86 platform in the market. The EWC recommends the EWC at Lenovo to welcome their new x86 colleagues also into their worker’s representative bodies.

By acquiring IBM’s xSeries business at the communicated price of $ 2.3 Billion, the EWC believes that Lenovo made a world class acquisition. Lenovo integrates a good and in Europe profitable business for an extremely attractive price, which is only 50% of the 2013 worldwide x86 server business revenue of $ 4.6 Billion.

Ongoing investments in the x86 business will remain necessary in a rapidly changing market environment. The EWC expects that Lenovo will take over the responsibility to continue those investments and that IBM’s initiative to invest $ 1 Billion as announced by Mr. Adalio Sanchez, General Manager System x, on November 9, 2013 will be adjusted.

The EWC welcomes IBM’s meticulous approach and process to ensure horizontal transfer of the x86 employees in scope and to compensate possible gaps. To secure the interests of both IBM in Europe and the European employees affected by this transfer, the European Works Council requests the commitment of IBM management to:

• safeguard the rights of the x86 employees in scope of the transfer according to EU Directive 2001/23/EC
• ensure that all European employees involved in the transfer to Lenovo are offered a guarantee of employment for the duration of the strategic alliance, ie. 5 years
• make sure the financial benefit of this sale is invested to a measurable degree in the recognition and development of IBM’s European employees
• align sales and incentive programs of both companies to ensure fast start and reinforcement of activities
• provide the EWC with the complete and detailed timetable of the transfer, as the transaction is expected to close later this year
• facilitate access to the Q&A regarding the Terms & Conditions of this transfer, available on IBM Connections, to all x86 employees in scope in Europe.

The EWC involvement in terms of information and consultation should continue until the transfer is fully concluded.
